Agreement to Terms

By submitting a sourcing inquiry, placing an order, or accessing the Baanhi platform (baanhi.com), you confirm that you have read, understood, and agree to be bound by these Terms of Trade. These terms govern B2B transactions between Baanhi Private Limited ("Baanhi", "we", "us") and the buyer, exporter, or trade professional ("Buyer", "you") engaging our services — that is, bulk, wholesale, corporate gifting and export orders that are quoted and made to specification.

Retail orders placed and paid for through the online store are not governed by these terms. Those are covered by our Shipping & Returns policy, which grants a 7-day return window on unused pieces.

If you do not agree to these terms, you must not proceed with any order or inquiry. Baanhi reserves the right to update these terms at any time. Continued use of the platform constitutes acceptance of the updated terms.

Nature of Business

Baanhi Private Limited operates as a B2B sourcing coordination platform. We are not a factory, warehouse, or mass manufacturer. Baanhi functions as a decentralised, artisan-led production ecosystem, coordinating between verified artisan clusters and global buyers.

All products listed on the platform are made-to-order and handcrafted using traditional techniques. No pre-manufactured or ready stock is maintained. Every order is fulfilled specifically per buyer specification following formal confirmation and advance payment.

Baanhi serves as a coordination interface between artisans and export partners under the governance of ethical trade practices. All sourcing processes, timelines, and customisations are subject to review and confirmation by the Baanhi coordination team.

Order Process & Acceptance

All orders follow a formal inquiry and acceptance process:

1. Buyer submits a sourcing inquiry via the platform or trade desk. 2. Baanhi reviews the request for commercial and operational feasibility. 3. Baanhi responds with product feasibility confirmation, MOQ, production timeline, customisation options (if applicable), and payment terms. 4. If terms are accepted by the Buyer, Baanhi issues a Pro Forma Invoice. 5. Production commences strictly after advance payment is confirmed.

Baanhi reserves the right to decline any order request that is commercially unviable, operationally infeasible, or inconsistent with the values of the artisan network. No order is binding until a Pro Forma Invoice has been issued and advance payment received.

Buyers must not make commitments to their end customers regarding delivery timelines, product specifications, or pricing before receiving written confirmation from Baanhi.

Minimum Order Quantities

The standard Minimum Order Quantity (MOQ) is 100 units or pieces per SKU. This threshold applies across most product categories and is not universal — it varies based on:

- Product type and materials involved - Availability of artisans skilled in that specific craft - Whether the order involves customisation or special production requirements - Time of year and artisan workload

Baanhi has full discretion to approve or decline orders below standard MOQ thresholds based on internal resource allocation and feasibility. The artisan production model does not support micro-batch manufacturing for resale unless explicitly agreed in writing.

For white-label and custom-branded orders, the minimum order threshold is 1,000 units per SKU, subject to a separate supply continuity agreement.

Payment Terms

All orders require advance payment. Baanhi and its artisan network do not operate on a credit or post-payment basis. Artisans require funds upfront to procure raw materials and begin production. Delayed or withheld payment directly exposes the artisan network to financial risk.

Standard payment terms are as follows: - Samples and small orders: 100% advance payment. No exceptions. - Larger orders (subject to team approval): 50% advance upon Pro Forma Invoice, 50% prior to dispatch. - Credit or deferred payment: Not available under any circumstance. Such requests will not be entertained.

All pricing is quoted in USD and is provided only after feasibility review. Pricing is at Baanhi's sole discretion and subject to change without notice based on market conditions, raw material costs, and artisan availability. Accepted currencies include USD, EUR, and GBP. INR invoicing is available upon request.

Payment must be made via wire transfer (SWIFT/IBAN). PayPal and credit card are not accepted for B2B orders. For orders exceeding USD 25,000, escrow arrangements may be available upon request.

Lead Times & Delivery

Standard production lead time ranges from 3 to 6 weeks from the date advance payment is confirmed. This timeline varies based on product complexity, order volume, artisan availability, and whether customisation is involved.

Baanhi does not guarantee expedited delivery timelines. Requests for urgent fulfilment must be submitted in advance and will be assessed on a case-by-case basis, subject to available bandwidth and production readiness.

Baanhi is not liable for delays caused by factors outside its reasonable control, including but not limited to: artisan illness, natural events, material shortages, port delays, customs clearance timelines, or force majeure events.

Shipping timelines after dispatch are governed by the freight carrier and are not within Baanhi's control. Estimated transit times are provided as guidance only and do not constitute a guarantee.

Quality & Inspection

Baanhi maintains a zero-defect policy on outgoing shipments. All products are quality-checked prior to dispatch against the specifications confirmed at the Pro Forma Invoice stage.

Third-party inspection by agencies such as SGS, Intertek, or equivalent is permitted. The cost, scheduling, and coordination of any third-party inspection must be arranged and borne by the Buyer. Site visits to artisan clusters must be coordinated with Baanhi in advance. Artisan privacy, production conditions, and local customs must be respected at all times.

Inspection is entirely optional and is not included in the product cost unless explicitly stated in the Pro Forma Invoice.

Baanhi does not currently hold Fair Trade, BSCI, SEDEX, or ISO/SA8000 certifications. Many products carry Geographical Indication (GI) certification issued by the Government of India. Buyers may independently pursue additional certifications under their own brand after procurement.

Customisation & Intellectual Property

Custom design, branded packaging, and white-labelling are available only upon formal review and written acceptance by Baanhi. The following conditions apply:

Custom Design: Requires written approval of design specifications by the relevant artisans, MOQ thresholds being met, sufficient lead time, and the Buyer bearing all costs of sampling, tooling, and development.

Branded Packaging: Available upon review. All additional packaging development costs are borne by the Buyer. Final approval of branded packaging rests with Baanhi.

White-Labelling: Not available for small or first-time orders. Requires a minimum of 1,000 units per SKU, execution of a supply continuity agreement, and Baanhi's approval of final branding to ensure accurate representation of product origin.

GI-Tagged Products: Products carrying a Geographical Indication certification cannot be customised beyond traditional design parameters without losing GI certification status. Baanhi makes the final determination on permissible alterations.

Exclusivity: Not granted by default. Exclusivity may be considered only for fully custom-developed items not previously sold through Baanhi, where the Buyer commits to consistent monthly volumes and executes a formal exclusivity agreement covering duration, territory, and terms. No verbal or implied exclusivity is valid.

All intellectual property in traditional craft designs, cluster documentation, and platform content remains the property of Baanhi Private Limited and the respective artisan communities.

Disputes & Resolution

Baanhi is committed to resolving disputes fairly and efficiently. All claims must be supported by photographic or video evidence and reported promptly upon receipt of goods.

Disputes are addressed through the following escalation protocol: 1. Initial issue is raised with the assigned trade coordinator. 2. If unresolved, the matter is escalated to Baanhi management for review and decision. 3. In cases of proven fault — including incorrect product, defective goods, or delivery failure — Baanhi may replace the product, offer a partial or full refund, or withhold future orders to prevent recurrence.

Legal proceedings are discouraged. Where contractually required, disputes shall be resolved under the Arbitration and Conciliation Act, 1996 (India), with proceedings conducted in English. The governing law of all transactions with Baanhi Private Limited is the law of India.

Limitation of Liability

To the fullest extent permitted by applicable law, Baanhi Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to any transaction, including but not limited to: loss of profit, loss of revenue, loss of data, or loss of business opportunity.

Baanhi's total liability to any Buyer in connection with any transaction shall not exceed the value of the relevant Pro Forma Invoice for that specific order.

Baanhi does not warrant that the platform will be uninterrupted, error-free, or free from viruses or other harmful components. All platform content is provided on an "as is" basis.

Governing Law & Jurisdiction

These Terms of Trade are governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of India, unless resolved through arbitration as described in Section 09.

These terms constitute the entire agreement between the Buyer and Baanhi Private Limited with respect to the subject matter herein and supersede all prior agreements, representations, and understandings.
